1. Grant of Licence

We grant you a non-exclusive, non-transferable, revocable licence to access and use the product for educational purposes, subject to the terms of this Agreement.

2. Permitted Use

You may:

• use the product for your own teaching and educational purposes

• allow students and staff of your institution to access the product

• access the product from school or home, on any suitable device

All use must be for non-commercial educational purposes within the licensed institution.

3. Institutional Use

This licence is granted to a single school or institution only.

Access credentials may be used by teachers and students within that institution, but must not be shared with other schools or organisations.

If access is required across multiple schools within a trust or group, a separate licence must be obtained for each school unless agreed in writing.

4. Restrictions

You must not:

• use the product for any commercial purpose

• copy, reproduce, download, or distribute the product or its content

• modify, adapt, or attempt to reverse engineer any part of the product

• share login credentials outside the licensed institution

• publish or advertise login details on any publicly accessible platform (including school websites)

• allow any third party to use the product outside the terms of this Agreement

5. Ownership

All intellectual property rights in the product, including content, design, and source code, remain the property of Smart Interactive Ltd.

This Agreement does not grant ownership of the product, only a licence to use it.

6. Term and Termination

This licence remains valid for the duration of the subscription.

If payment is not made, or if these terms are breached, the licence will automatically terminate and access to the product may be suspended.

We reserve the right to suspend or terminate access where there is reasonable evidence of misuse.

7. Availability

We aim to ensure the product is available at all times, but we do not guarantee uninterrupted access.

Access may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8. Limitation of Liability

To the fullest extent permitted by law, Smart Interactive Ltd shall not be liable for any indirect or consequential loss arising from the use of, or inability to access, the product.

Where liability cannot be excluded, our total liability shall not exceed the amount paid for the subscription.

Nothing in this Agreement excludes or limits liability for:

• death or personal injury caused by negligence

• fraud or fraudulent misrepresentation

• any liability which cannot be excluded under English law

9. Statutory Rights

Nothing in this Agreement affects the statutory rights of UK customers.

10. Governing Law

This Agreement is governed by the laws of England and Wales.
