UK customers’ statutory rights are not affected by any of these terms.
1. General
These Terms and Conditions govern the supply and use of products and services provided by Smart Interactive Ltd (“we”, “us”, or “our”).
By placing an order for, or accessing, any of our products or services, you agree to be bound by these Terms and Conditions.
We reserve the right to refuse the supply of goods or services at our discretion.
If you access any of our websites, you agree to be bound by these terms. If you do not accept these terms, you must not use the site or access any materials made available through it.
2. Contract Formation
A binding contract is formed between you and us when we accept your order and issue an invoice or provide access to the service.
3. Payment Terms
Invoices are payable upon receipt unless otherwise agreed in writing.
Access credentials (logins) are normally provided within 24 hours of payment being received.
We reserve the right to suspend access to the service if an account becomes overdue. We will provide at least 10 days’ notice before suspending access.
We do not charge reactivation fees. Access will normally be restored within 24 hours of payment being received.
If an account has been suspended for non-payment, we reserve the right to remove any promotions or discounts that may previously have been offered.
4. Product Evaluation and Refunds
Samples of our products are available on our website for evaluation purposes.
Customers should ensure that the product is suitable for their students before placing an order.
Except where required by law, refunds are not offered once access to the service has been provided.
5. Licence and Permitted Use
A subscription grants the customer a non-transferable licence to access and use the materials for educational purposes within the purchasing school or institution.
The materials may not be copied, redistributed, published, or made available outside the purchasing institution without our prior written permission.
Access credentials must not be shared outside the purchasing institution. We reserve the right to suspend accounts where unauthorised sharing is detected.

All trademarks remain the property of their respective owners.
6. Technical Requirements
To access our products you require:

a computer or device connected to the internet

a modern web browser capable of running HTML5 content
If changes to your hardware, software, or browser prevent access to the service during your subscription period, this does not entitle you to a refund.
7. Service Availability
We aim to ensure the service is available at all times. However, we do not guarantee uninterrupted access.
The service may occasionally be unavailable due to maintenance, updates, or circumstances beyond our control.
8. Limitation of Liability
To the fullest extent permitted by law, Smart Interactive Ltd shall not be liable for any indirect or consequential loss arising from the use of our services.
If the service is temporarily unavailable due to technical failures beyond our control, we cannot be held responsible for any loss or damage resulting from this.
Nothing in these terms excludes or limits liability for:

any liability which cannot be excluded under the laws of England and Wales.
9. Prices and Currency
All prices displayed on our website are in Pounds Sterling (£).
Customers outside the United Kingdom should check with their card issuer regarding exchange rates and any additional charges that may apply when making a transaction in Pounds Sterling.
10. Security
We take reasonable steps to ensure that the details of your order and payment remain secure.
No credit card information is stored on our systems.
Unless we are negligent, we cannot be held liable for any losses caused as a result of unauthorised access to information provided by you.
11. Privacy

We only store email addresses of customers who subscribe to our products and we do not share these with third parties, except where required by law.
12. Website Use
You must not use our website for any unlawful purpose.
You may contact us through the website, provided that any comments submitted are not defamatory, indecent, or obscene.
13. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Users accessing the site from other locations are responsible for compliance with their local laws and taxes where applicable.
14. Severability
If any provision of these Terms and Conditions is held to be invalid or unenforceable, the remaining provisions shall remain valid and enforceable.
15. Subscription Period and Renewal
Subscriptions provide access to the service for the agreed subscription period.
Access will automatically expire at the end of the subscription period unless a renewal order is placed.
We may contact customers before the subscription expires to offer renewal. Renewal is optional and no automatic charges will be made unless otherwise agreed.
16. Acceptable Use
Customers agree to use the service only for legitimate educational purposes.
Users must not:

We reserve the right to suspend or terminate access if we believe the service is being misused.
17. Fair Usage
Our services are designed for normal classroom and educational use within the purchasing institution.
Where usage patterns indicate excessive downloading, automated access, or distribution beyond the purchasing institution, we reserve the right to investigate and restrict access if necessary to protect the integrity of the service.
18. Institutional Access
Subscriptions are licensed for use within the purchasing school or institution only.
Access credentials may be used by teachers and students belonging to that institution, but must not be shared with other schools, organisations, or individuals outside the purchasing institution.
If access is required for multiple schools within a trust, federation, or organisation, a separate subscription must be purchased for each school unless otherwise agreed in writing.
We reserve the right to suspend access where there is reasonable evidence that login details are being shared outside the licensed institution.
